Terms of sale and licence

1. General

These terms apply to the purchase of a licence of LW RF Studio (the program, including PCB Antenna Lab and SmithMatch) through lwtech.org or other suitable sales channels. You accept the terms when you confirm your order.

Seller is Wattlet AS, organisation number 920 951 368, Gudbrandsdalsvegen 194, 2619 Lillehammer, Norway (contact form). Buyer is the person or company given as buyer in the order; "you" means the buyer. When you order you accept these terms in full.

The terms, the order and the order confirmation together make up the agreement. The licence is delivered electronically and can be used worldwide.

Consumer purchases are regulated, among others, by the Norwegian laws on consumer sales and digital services, the right of withdrawal act, the marketing act, the personal data act and the e-commerce act. You find the laws on lovdata.no.

2. Licence

A licence gives one person the right to use the full version of the program on the PC it is issued for (its PC ID), for the period shown on the order, or without end for a perpetual licence. The Student licence is for students, academics and hobbyists, for non-commercial use only. The program stays the property of Wattlet AS; it may not be copied, resold, decompiled or modified, and the licence may not be shared.

3. Ordering and agreement

The purchase is binding for both parties when your order is registered with us. You still have the right of withdrawal described in section 8. You receive an order confirmation by e-mail from Wattlet AS when the order is made (for a card payment, when the payment is received).

4. Prices

Prices on the site are in euro without VAT. VAT is added where it applies: Norwegian VAT of 25 % for customers in Norway; customers in other countries pay no VAT. The total, with VAT, is shown before you pay or confirm the order, and includes all costs of the purchase: there are no shipping costs, because the licence is delivered by e-mail.

5. Payment

You can pay by card (the payment methods shown in the payment window, such as Visa and Mastercard) through the payment service Dintero. The card is charged when you complete the payment, and the amount is taken when the order is accepted. Wattlet AS does not see or store your card number; it is handled by Dintero. Companies can ask for an invoice instead: the invoice is sent with the licence and is payable within 14 days.

6. Delivery

The licence is sent by e-mail to the address in the order, usually within one working day after the order (and the payment, for a card order). A licence is made for the PC ID you give; the licence can be activated in the program with Help > Licence. All delivery times given on our pages are indicative. If delivery is considerably delayed, you are told.

When you have received the licence, activate it as soon as possible to check that it is what you ordered. If it is not, contact us as soon as possible.

7. New PC

When you replace your PC or reinstall Windows, the PC ID changes: send us the new one and we move the licence to it, free of charge.

8. Try before you buy, right of withdrawal

LW RF Studio includes a 30-day trial of the full version, so you can check it before you buy. Consumers have a 14-day right of withdrawal under the right of withdrawal act, counted from the day the agreement is made. The right of withdrawal ends when the licence has been delivered and activated at your express request, with your acceptance that you then lose it. To use the right of withdrawal before that, tell us in writing through the contact form; the amount is paid back to the card you used.

9. Late delivery

If the licence is not delivered, or is delivered late in the sense of the agreement, and this is not due to you or to circumstances on your side, you may, according to the circumstances and the rules of the consumer purchase law, withhold the payment, demand fulfilment or claim damages. A claim for late delivery must be made to us within reasonable time.

10. Complaints

If you find a fault or defect in the program or the licence, you must tell us within reasonable time after you found, or should have found, it (complaint). The time limit for a complaint is never shorter than two months from the day you found the defect. A complaint must be made in writing through the contact form; you receive a confirmation when we have received it.

If there is a defect that is not due to you or to circumstances on your side, and you have complained in time, you can, according to the rules of the consumer purchase law: withhold all or part of the price (if it is not yet paid); in some cases choose between repair (an update or a new licence) and replacement; in some cases demand a price reduction or damages; and demand to cancel the purchase if the defect is not insignificant.

If there is no defect, we can only claim payment for the investigations that were necessary to decide whether there is one. We may reject a complaint if the program turns out to have no defect under the consumer legislation in force.

11. Privacy

By accepting these terms you also agree that we keep and process your personal data to handle the order and the licence, as described in the privacy statement.

12. Liability and extraordinary circumstances

The program is a simulation and design aid: check every design by measurement before production. We are liable for loss of value of the program only if a fault or defect is shown. This does not apply if we show that the defect is due to circumstances outside our control that we could not reasonably be expected to avoid or overcome. We are not liable for indirect losses resulting from defects, unless the loss was caused by our gross negligence or intent. For business customers, our liability is limited to the price paid for the licence.

In a consumer purchase the terms cannot be worse for you than those of the law, see the consumer purchase act.

13. Changes to the terms

We reserve the right to change these terms, for example because of changes in the law. The terms that applied when you ordered are the ones that apply to your purchase.

14. Force majeure

If we are prevented from delivering, or the duty to deliver becomes unreasonably heavy, because of a labour dispute or any other circumstance the parties cannot control, such as fire, war, mobilisation, requisition, seizure, currency restrictions, riot, lack of power, network or communication failures, or errors or delays in deliveries from our suppliers caused by such circumstances, the delivery is postponed or cancelled. You are told as soon as possible, and if the delay is long, either party can cancel the purchase.

15. Disputes and governing law

Disputes about these terms, and other disputes about trade on lwtech.org, follow Norwegian law and belong to the ordinary dispute resolution bodies and courts. If no agreement is reached, Oslo District Court (Oslo tingrett) is the venue.

If you want to complain about something you bought from us, you can complain to the Norwegian Consumer Council, or use the EU online dispute resolution platform (ODR). The Consumer Council is a government body that advises consumers and mediates in disputes between consumers and businesses.
